Trust should be
built into the structure.
KEDA is being designed so that its mission, resources and governance remain accountable beyond any individual person.
KEDA is being established as a Dutch stichting. A stichting is a separate legal entity with its own assets, rights and obligations. It is established by notarial deed and governed by articles of association.
KEDA's final legal framework will be established with a Dutch civil-law notary. The commitments described on this page are intended to guide that process and will be presented as formal governance requirements where legally appropriate.
Protecting the mission
through structure.
Purpose protection
The foundation's purposes should be clearly defined in its articles of association and guide the use of its resources and activities.
Asset protection
Foundation assets should remain dedicated to KEDA's purposes and should not become the private property of founders, directors or other individuals.
No shareholder ownership
KEDA is being structured as a stichting rather than a shareholder-owned company. The organisation is intended to serve its purposes rather than private owners.
Conflict-of-interest controls
Transactions involving directors, related parties or connected organisations should be disclosed and handled under appropriate approval procedures.
Major-decision safeguards
KEDA intends to establish appropriate approval requirements for major strategic decisions, significant expenditures and changes to the organisation's governing framework.
Dissolution protection
The final articles should specify that, after legitimate liabilities are settled, remaining assets are directed in accordance with applicable law toward purposes compatible with KEDA's mission rather than private distribution.
Resources should be
traceable and accountable.
Financial records
KEDA will maintain appropriate accounting and financial records covering assets, liabilities, income and expenditure.
Responsible expenditure
Expenditure should have a legitimate connection to the foundation's purposes, administration or lawful operations.
Project reporting
KEDA intends to publish meaningful information about major projects, including objectives, progress and relevant financial information where appropriate.
Public information
As KEDA becomes operational, this section will contain relevant governance, financial and organisational information that KEDA is required or chooses to publish.
Building toward
public-benefit recognition.
KEDA intends to evaluate eligibility for ANBI status once the foundation has been formally established and its activities, governance and financial structure can be assessed against the applicable Dutch requirements.
KEDA will not describe itself as an ANBI until that status has actually been obtained.
Transparency is not a promise about what KEDA might become. It is a principle we intend to build into how KEDA operates.
